If you live outside the US and own a single-member US LLC (the usual Stripe setup), the IRS expects Form 5472 plus a pro forma 1120 every year the company had any money moving between you and it. That includes you paying the formation fee, so it covers almost everyone, even with zero revenue. It can't be e-filed (fax or mail only), and the penalty for missing it is $25,000 per form, per year.

Formation services rarely mention it, so I built filingchecker.com: answer a few questions (owners, state, formation year, what money moved) and it lists every federal and state filing you owe, with due dates and fines. It runs in the browser, no sign-up.

The extended deadline for 2025 forms was 15 October. If you missed it, file anyway. First-time abatement doesn't apply to 5472, so the route is a reasonable cause statement, and an IRS legal memo from April (CCA 202617012) says it should generally be granted to small companies (under $20M gross receipts) that didn't know about the rule, have limited US presence and file promptly once they find out. I wrote up the steps here: https://filingchecker.com/missed-form-5472-deadline

Built with plain HTML/JS on Cloudflare Pages. The rules are one small JS file covering the federal forms plus DE, WY, NM, FL, TX and NV. Tell me where it gets your situation wrong. (Not tax advice; for several missed years, talk to a professional.)

If you're in this situation: what to do if you missed the Form 5472 deadline.
